Any Hong Kong company or merchant must renew its Business Registration Certificate (BR) before it expires each year. Failure to do so not only incurs fines but may also lead to bank account freezes and damage to your business reputation. Below we explain all three renewal channels—online, in-person, and by mail—plus outline penalties, fees, and common questions.
1. BR Renewal Methods
You can renew via online, in-person, or mail:
Online (e-BR / “Tax e-Service”)
- Log In: Access the e-BR Electronic Service or check renewal status and download the payment notice via “Tax e-Service.”
- Verify & Upload: Confirm your company name, address, and expiry date. Then upload a scanned copy of your old BR and the ID card copy of the responsible person (if address changed, also upload Form IRC 3111A).
- Pay & Receive: Pay instantly via FPS, credit card, etc. If you opted for a paper certificate, it will be mailed to your registered address.
In Person
- Location: Business Registration Office counter, 2/F, Revenue Tower.
- Bring: Original BR and ID copy; if address changed, also bring Form IRC 3111A.
- Pay & Collect: Pay on-site (EPS, credit card, or cashier’s order) and collect your new BR immediately.
By Mail
- Prepare Documents: Complete the “BR Replacement Form” and Form IRC 3111A (if applicable), and include a photocopy of your old BR.
- Payment: Enclose a crossed cheque or cashier’s order.
- Mailing Address & Delivery: Send to the Business Registration Office, Revenue Tower, Kowloon. After processing, the new BR will be mailed out.
2. Penalties for Late Renewal
- Fines:
- 1–30 days late: HK$300
- 31–60 days late: HK$600
- Over 60 days: from HK$900
- Legal Liability: Directors or responsible persons may face criminal charges, including fines or imprisonment.
- Bank Impact: Banks may freeze your company account, affecting cash flow.
BR Renewal Fees:
1-year: HK$2,200
3-year: HK$5,870
Please ensure you submit the correct fees to avoid delays.
3. FAQs
- Can I appoint an agent?
Yes—an authorized agent can renew on your behalf with your company chop, ID copy, and authorization letter. - Process after changing director or address?
Update your records at the Companies Registry first, then renew using one of the above methods. - When will I receive my certificate after online renewal?
Generally effective within 1–2 working days and mailed out immediately; in-person renewals can be collected the same day.
4. Conclusion
BR renewal is a statutory duty every business owner must not overlook. If you are late, act immediately to avoid fines or legal risk.
